JOB VACANCY LEGAL MANAGER POSITION
1. BACKGROUND
Prime Insurance Ltd is an insurance company, established in 1995 and licensed by the National Bank of Rwanda (BNR) to offer general insurance services.
Job Title: Legal Manager
Department: Legal

Reports to: Chief Executive Officer
Location: Prime Insurance Head Office, Kigali-Rwanda
2. JOB PURPOSE
The Legal Manager is a key strategic role responsible for overseeing all legal affairs of the company, ensuring legal compliance, mitigating risk, and providing expert counsel to support business objectives. This role involves managing legal processes, contracts, regulatory matters, and dispute resolution while safeguarding the company’s interests and promoting a culture of integrity and adherence to the law.
3. KEY RESPONSIBILITIES
Under the supervision of the Chief Executive Officer, the Legal Manager shall have the following responsibilities:
Legal Advisory & Compliance:
- Serve as the primary legal advisor to the CEO, Executive Committee, and department heads on a wide range of legal, regulatory, and business issues.
- Ensure the company’s compliance with all applicable national laws, regulations, and industry standards.
- Develop, implement, and review company policies and procedures from a legal standpoint.
Contract Management & Negotiation:
- Draft, review, negotiate, and manage all types of contracts, agreements, and legal documents, including insurance policies, vendor agreements, partnership deals, and service contracts.
- Maintain a centralized contract management system and ensure timely renewal, amendment, or termination as necessary.
Dispute Resolution & Litigation Management:
- Manage and oversee all legal disputes, litigation, and arbitration matters involving the company.
- Liaise with external counsel, manage related budgets, and develop strategies to resolve disputes efficiently and favorably.
- Evaluation & management of legal firms having contracts with the company
Corporate Governance & Regulatory Affairs:
- Advise on corporate governance matters and ensure adherence to corporate secretarial standards.
- Monitor regulatory developments, assess their impact on the business, and guide necessary adjustments.
Risk Management:
- Identify legal risks associated with business activities and propose preventive measures.
- Provide training to employees on legal topics, compliance requirements, and risk awareness.
4. KEY DELIVERABLES
- Timely and effective legal advice that supports business decisions and minimizes risk.
- Well-drafted, negotiated, and managed contracts that protect the company’s interests.
- Effective management and resolution of legal disputes with minimal business disruption.
- Full compliance with legal and regulatory requirements across all operations.
- Positive audit outcomes related to legal and regulatory adherence.
5. REQUIRED QUALIFICATIONS & EXPERIENCE
- Experience:A minimum of five years of consecutive, progressive experience in legal practice, with at least three years in a managerial capacity. A background in the financial services, insurance, or corporate sectors is preferred. Proven experience managing an in-house legal function is a strong advantage.
- Education:Bachelor of Laws (LLB) degree from a recognized institution. A Master’s degree in Law, Business, or a related field will be an added advantage.
- Legal Certification:Diploma from Institute of Legal Practice (ILPD)
- Language:Fluency in English, Kinyarwanda, and French.
6. KEY COMPETENCIES
- In-depth knowledge of Rwandan corporate, commercial, insurance, and regulatory law.
- Excellent drafting, negotiation, and analytical skills.
- Strong ethical judgment, integrity, and discretion in handling confidential matters.
- Ability to communicate complex legal issues clearly to non-legal stakeholders.
- Proactive, strategic thinker with strong problem-solving abilities.
- Proficiency in legal research tools and the Microsoft Office Suite.
7. WORKING RELATIONSHIPS
- Internal:CEO, Executive Committee, Heads of Departments, all staff across the organization.
- External:External legal counsel, regulators, government bodies, business partners, insurers, and industry associations.
